Risk disclosure statement

Last updated: January 1, 2026

This statement summarises some of the principal risks of using a custodial cryptocurrency wallet and digital asset transfer service. It is not a complete list. You should read it carefully before opening an account or sending any digital assets to Spring Light LLC.

Cryptoassets are highly volatile and may lose value. The value of cryptocurrencies can fall sharply, including to zero. Past performance is not a reliable indicator of future results. You should not transfer or hold more than you can afford to lose.

1. Market and price risk

Cryptocurrencies are highly volatile. Their prices may rise or fall significantly in short periods of time, including over weekends, holidays and other periods when traditional markets are closed. Spring Light does not control market prices and does not guarantee any particular value of your holdings.

2. No deposit or investor protection insurance

Cryptoassets held with Spring Light are not deposits or securities. They are not covered by U.S. Federal Deposit Insurance Corporation (FDIC) deposit insurance, nor are they covered by the Securities Investor Protection Corporation (SIPC) or any equivalent international scheme. They are not legal tender and are not backed by any government.

3. Custodial risk

You are using a custodial wallet. That means Spring Light controls the cryptographic keys necessary to move assets. While we use segregated wallets, multi-party approvals, and the security practices described on our Security page, no security program is invulnerable. A successful attack on Spring Light, on a service provider, or on the underlying blockchain networks could result in loss of funds.

4. On-chain transfer risk

5. Counterparty & sanctions risk

Spring Light screens counterparties and may decline, pause or report transfers in line with U.S. AML and sanctions law. Transfers involving high-risk counterparties may be subject to additional review or rejection.

6. Regulatory risk

Cryptocurrency regulation is evolving in the United States and internationally. New laws, regulations or interpretations may affect Spring Light's services, the supported assets, or your ability to access your account. Some changes may take effect with little or no notice.

7. Operational & technology risk

8. Tax risk

Buying, holding, transferring or otherwise dealing in cryptoassets may have tax consequences in your jurisdiction. Spring Light does not provide tax advice. You are responsible for determining and meeting your own tax obligations.

9. No investment advice; no guarantee

Spring Light does not provide investment, tax or legal advice. Nothing on this website or in our communications is a recommendation to buy, sell, hold or otherwise transact in any cryptoasset. Spring Light does not guarantee profits or any specific investment outcome.

10. Acknowledgement

By opening an account or using Spring Light's services, you acknowledge that you have read this risk disclosure, understand the risks described, and accept that you are responsible for your own decisions.
